It assigns the rights of a corporation or corporate entitity in certain project or sub-corporation to an individual. This is frequently done in the course of litigation between co-plaintiffs to facilitate mutual goals, or done as part of purchase between a corporation and a buyer of the project. It may also be done in settlement of disputes over a certain project. When the rights are transfered under this agreement, all rights are vested in the assignee (the person getting the rights), including ownership in the project and all rights, but mainly, the rights to sue other individuals that owe the project or former owner money, or who wronged the former owner or project. This agreement focuses more on the conveyance of those rights. Good form. Can be easily modified to transfer the rights to a new corporation rather than individual.
